The following Terms of Service or Terms & Conditions are entered into by and between You (the “Client”) and GSuiteSpecialist.in. (“G Suite Specialist”, the “Company”, “we”, or “us”) upon your acceptance (verbally, in writing, via signature or online acceptance) of any Sales Proposal issued to you by GSuiteSpecialist.in. This website (www.gsuitespecialist.in) is operated by KEDAR ENTERPRISES (GSTIN 09ICWPS3209F1ZY).

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms of Service”), govern your purchase of, access to and use of any products or services sold or provided to you by GSuiteSpecialist.in (the “Products and Services”).

Please read the Terms of Service carefully before accessing or using the Products and Services. By using the Products and Services or by clicking to accept or agree to their Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Service including the agreements incorporated by reference herein, you must not access or use the Products and Services.

Products and Services

GSuiteSpecialist.in have alliance relationships with third party product and services vendors (“Third Party Suppliers”).

As part of many such arrangements, GSuiteSpecialist.in is able to resell the Third Party Suppliers hardware, software and other products (collectively “Products”) and Third Party Supplier services (“Services”) and may receive discounts or rebates from the Third Party Suppliers in connection with the sale of such Products or Services.

Products and Services are sold by GSuiteSpecialist.in as a reseller under the terms and conditions established by the applicable Third Party Supplier.

Upon request, GSuiteSpecialist.in will provide such Third Party Supplier Terms to the Client prior to acceptance of the Sales Proposal.

The Company as Reseller Partner

We may act as a reseller or sublicensor of certain third party services, hardware, software and equipment used in connection with the Services (“Resold Products”). We shall not be responsible for any changes in the Services that cause any Resold Products to become obsolete, require modification or alteration, or otherwise affect the performance of the Services. Any malfunction or manufacturer’s defects of Resold Products, either sold, sublicensed or provided by us to you will not be deemed a breach of the Company’s obligations under this Agreement. Any rights or remedies you may have regarding the ownership, licensing, performance or compliance of any Resold Products are limited to those rights extended to you by the manufacturer of such Resold Products. You are entitled to use any Resold Product supplied by us only in connection with your use of the Services as permitted under this Agreement. You shall make no attempt to copy, alter, reverse engineer, or tamper with such Resold Product or to use it other than in connection with the Services. You shall not resell, transfer, export or re-export any Resold Products, or any technical data derived therefrom, in violation of any applicable law, rules or regulations.

Customer or Client Agreement

The Terms of Service apply to all services provided by www.gsuitespecialist.in to you throughout the entire Term or Renewal Term. All customers should agree on all terms and conditions stated prior to their signing up for any of the services mentioned on www.gsuitespecialist.in.

Customer or Client Responsibilities

You are required to comply with applicable law and have certain obligations with respect to their use of the Services. You are also required to cooperate with us and utilize hardware and software that is compatible with the Services. In addition, you are responsible for the security of your account and its content, as well as for maintaining a backup of your content and promptly removing any malware from your account.

Billing and Payment Information

The Client agrees to pay as invoiced the total purchase price for the Products and Services agreed in the Sales Proposal (the “Fee”), plus Billable Taxes (as defined in the Taxes section below).

Any changes to the Fee applicable to any Renewal Terms are dictated by the Third Party Supplier.

GSuiteSpecialist.in will provide the Client notice of any such Fee changes by invoice as soon as commercially practicable after receiving notice of such changes from the Third Party Supplier. We will provide you with at least thirty (30) days’ notice before charging you with any price change.

  • Pre-payment: It is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree to pay for the Services in advance of the time period during which such Services are provided. Subject to applicable laws, rules, and regulations, at our sole discretion, payments may be applied to outstanding invoices in your billing account.
  • Taxes: Listed fees for the Services do not include any applicable sales, use, revenue, excise or other taxes imposed by any taxing authority, unless otherwise provided. Any applicable taxes will be added to your invoice as a separate charge to be paid by you. All fees are non-refundable when paid unless otherwise stated.
  • Late Payment or Non-Payment: Any invoice that is outstanding may result in the suspension or termination of Services. Access to the account will not be restored until payment has been received. If you fail to pay the fees as specified herein, we may suspend or terminate your account and pursue the collection costs incurred by the Company, including without limitation, any arbitration and legal fees, and reasonable attorneys’ fees. We will not activate new orders or activate new packages for customers who have an outstanding balance on their account.
  • Fraud: It is a violation of this Agreement for you to misuse or fraudulently use credit cards, charge cards, electronic funds transfers, electronic checks, or any other payment method. We may report any such misuse or fraudulent use, as determined in our sole discretion, to governmental and law enforcement authorities, credit reporting services, financial institutions and/or credit card companies. Changes to “Terms of Service”

You can review the most current version of the Terms of Service at any time at this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
